The client is a major Government in the Middle East. The Government incubates several businesses and upon achieving commercial viability recovers its investment through privatization. The client is a leading producer of poultry and dairy in the Middle East. The shareholder (Government) has taken a decision to privatize the companies. In order to make the business attractive to potential buyers, the shareholders have decided to merge the two businesses before seeking offers.

Solution

SCG was brought on board to study the dynamics of themerger and prepare the Information Memorandum for sale.

  1. SCGs Strategy team worked on creating a unified operations strategy based on our understanding that both businesses dealt with common customers. We determined that significant cost reduction could be achieved from creation of cost centers that worked for both companies.
  2. SCGs Operations team developed the cost centers for Core and Non-core functions such as Sales & Customer Acquisition, Finance & IT, HR, Logistics, and Procurement.
  3. SCGs Organisation Design team created the Organisation structure for the merged entity and conducted several workshops to integrate the team into the new structure.

SCG worked with both the companies to achieve seamless integration of the operations and setting up cost centers and the Integrated Entity/Newco. On completion of merger and post-merger implementation of strategy, SCG was retained to assist in heading a new product extension function. Our team was successful in creating a range of products to add to the product mix including dairy and non-dairy products. The client is now a leader in the poultry, dairy products and food products in the Middle East. As an exclusive partner of world famous brands in the dairy industry (mainly from Europe), the client has been able to carve a niche market for itself and is now the largest vendor to Hypermarkets and has a combined offering that covers over 35% of all food products sold in Hypermarkets in the region.
